Please read these Terms and Conditions carefully before engaging the services of Budi Advisors or using our website. By submitting an enquiry, entering into a service agreement, or using our website, you agree to be bound by these terms.

2. Acceptance of Terms

Use of this website or engagement of our services constitutes acceptance of these Terms. Clients must be 18 years of age or older and have legal capacity to enter into a binding agreement. These Terms are governed by the laws of Malaysia.

3. Service Description

Budi Advisors provides business consulting services in three defined areas: regulatory compliance readiness, digital maturity assessment, and business succession planning. Full service descriptions, including scope, duration, and fees, are available on our website and confirmed in writing prior to each engagement. Services are directed at businesses operating in Malaysia.

4. Engagement Process and Scope

All engagements commence with an initial consultation followed by the issuance of a written scope document. This document sets out the objectives, deliverables, timeline, and fee for the engagement. Work begins only upon the client's written acceptance of the scope document. Any changes to scope requested after commencement will be agreed in writing before implementation.

Delays caused by the client's failure to meet these obligations may extend engagement timelines. Budi Advisors is not responsible for delays arising from client-side factors.

6. Fees and Payment

Fees for each service are as published on our website and confirmed in the scope document. Payment terms are set out in the scope document. Standard terms are 50% upon acceptance of scope and 50% upon delivery of the final deliverable. Sales and Services Tax (SST) applies where required under Malaysian law and will be clearly stated in invoices.

Late payment may result in suspension of services. Overdue amounts are subject to late payment interest at the rate permissible under Malaysian law.

7. Refunds and Cancellation

Clients may cancel an engagement in writing before commencement with a full refund of any deposit paid. Cancellation after work has commenced will be assessed based on work completed to that point. The deposit paid is non-refundable if cancellation occurs after engagement commencement without cause attributable to Budi Advisors.

8. Intellectual Property

All deliverables produced by Budi Advisors in the course of an engagement are provided for the client's internal business use upon full payment of fees. Clients may not reproduce, publish, or distribute deliverables for commercial purposes without written consent. Budi Advisors retains ownership of methodologies, frameworks, and templates underlying all deliverables.

9. Confidentiality

Both parties agree to treat the other's confidential information with the same degree of care as their own, but no less than reasonable care. Confidential information includes business data, strategies, financial information, and personnel details. Mutual NDAs are signed prior to all engagements. Confidentiality obligations survive termination of the engagement for a period of three years.

10. Disclaimers

Budi Advisors provides advisory services based on information available at the time of the engagement. Our advice does not constitute legal advice, accounting advice, or a representation that any particular outcome will be achieved. Clients are responsible for decisions made on the basis of our recommendations. Regulatory requirements may change after engagement completion, and Budi Advisors is not liable for changes occurring after the engagement end date.

11. Limitation of Liability

To the extent permitted by Malaysian law, Budi Advisors' total liability for any claim arising from an engagement is limited to the total fees paid for that specific engagement. We are not liable for indirect, consequential, or speculative losses including lost profits, lost business, or reputational damage.

12. Indemnification

The client agrees to indemnify and hold Budi Advisors harmless from any claims, losses, or damages arising from: the client's misuse of deliverables, inaccurate information provided to Budi Advisors, or the client's violation of applicable Malaysian law.

13. Termination

Either party may terminate an engagement in writing if the other party materially breaches these terms and fails to remedy the breach within 14 days of written notice. Upon termination, the client is liable for fees corresponding to work completed to the date of termination. Obligations of confidentiality and intellectual property survival remain in effect.

14. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute. If unresolved, disputes will be referred to mediation under the Asian International Arbitration Centre (AIAC) rules before any legal proceedings are commenced. These Terms are governed by the laws of Malaysia and subject to the jurisdiction of the Malaysian courts.

Budi Advisors may update these Terms from time to time. Updated Terms will be posted on our website with a revised effective date. Engagements in progress at the time of any update remain governed by the Terms in effect at the time the scope document was signed.
